AMC's objection to Robinhood's AMC-linked stock token put a basic question in public view: Does the token track the stock, or is it the share? In this video, Securitize Head of Ecosystem Graham Ferguson explains why that distinction matters.

2/ The market is split between native tokenization and wrapped models. A wrapper can provide custodial or synthetic exposure to a stock. Multiple wrappers can carry the same ticker while giving holders different claims, rights, and counterparties.

3/ With native tokenization, the token is the security. The issuer is at the table and a registered transfer agent records onchain transfers on the official shareholder record, so ownership and applicable rights travel with the share. Investors own the share, not a wrapper.

@grahamfergs Too bad that will never happen. The only reason why they want to tokenize the stock is because they don’t want you to have control of it while they do.

@grahamfergs Graham, an investor can not hold an issuer sponsored token and a DRS share (representing the same share) at the same time, correct? When an investor exchanges a DRS share for an issuer sponsored token, “who” DIRECTLY holds the share itself?

@grahamfergs The structure matters. So does what those assets can actually do once they’re on-chain.

@grahamfergs This sounds like a great idea, except it’s horseshit just like every other token. Until the government fully backs a blockchain asset all else can go to zero. Period. A greasy haired dude talking confidently about the technology in a suit doesn’t change the facts. Fuck off

@grahamfergs This is the distinction that actually matters, and most of the market still glosses over it. Great breakdown from Graham.

@grahamfergs Tokenization gets much more meaningful when ownership, not just price exposure, moves onchain.

@grahamfergs That distinction is exactly why retail investors have been so confused about these tokenized assets.

@grahamfergs An issuer publicly objecting to how its own stock is wrapped previews the ownership dispute that surfaces the day a wrapped position actually needs resolving.

@grahamfergs this is the question that decides whether it can be collateral at all. a tracker works fine for trading and falls apart the moment someone has to get paid ahead of someone else

The register is the whole difference. Rights travel with the share when the token is on it, and they don't when the token is a claim on somebody holding the share Both are legitimate products. They just resolve differently on corporate actions and in insolvency, and the naming doesn't help anyone tell them apart

@grahamfergs distinction matters because “linked” can be either economic exposure or legal ownership. is it a beneficial interest via a custodian, or a direct

@grahamfergs the distinction is legal + economic: token holders get exposure via the underlying, not governance like an actual AMC share. what’s the exact

@grahamfergs Tokenized exposure without rights is just a derivative with better UX. My bet: this gets settled in public before something breaks.
