The largest IPO in history is also shaping up to be the largest exit liquidity operation in history SpaceX went public at more than 90x revenue, and the insiders who bought in at a fraction of today's price are about to start selling their shares to you. Let me walk you through why this IPO is built to separate retail investors from their money: SpaceX has NEVER turned a profit and lost close to $5 billion last year. At the offering you were paying more than 90x revenue and at the peak the market briefly valued it near 140x. 30 years ago the head of Sun Microsystems explained in detail why paying even 10x revenue almost always ends in tears, and he was right. But listen closely, because the valuation is not even the real story. The scarcity is what CREATED this valuation in the first place, and the calendar that kills the scarcity is what kills the price. Less than 5% of SpaceX shares were actually available to trade at the IPO. Then the index committees REWROTE their own rules to fast track the stock into the Nasdaq 100 just 15 trading days after listing, which forced every passive fund and index ETF in the country to buy at the exact moment the float was at its tightest. The Nasdaq inclusion alone forced an estimated $4.3 billion of buying, and the Russell reweighting added roughly $3 billion more. The supply was minuscule and the buying was mandatory. That's a manufactured squeeze, and it is why the stock went above $225 in its first week. Now watch what happens next, because this is the part they ain't explaining to you: The lockup was staggered on purpose, and the entire schedule is sitting in the prospectus for anyone who bothers to read it. In early August, right after Q2 earnings, 20% of the locked shares come free. Another 10% unlocks early if the stock trades 30% above the $135 IPO price going into the report. Then tranches of 7% hit the market at 70, 90, 105, 120 and 135 days after the IPO, which means fresh insider supply lands roughly every 2 to 3 weeks from late August through late October. Q3 earnings triggers the single biggest release of all, another 28%, roughly 1.3 billion shares. On December 8 the 180 day lockup expires entirely. And on June 12, 2027 comes the final wave, when Musk's own 6.4 billion shares, 42% of the whole company, become sellable for the first time. Add it all up and insiders could be free to sell as much as 44% of the company by early September, which would balloon the tradable float by roughly 900%. All of that supply lands on a stock the company deliberately packed with retail, because SpaceX reserved close to 30% of the offering for individual investors vs the usual 10%. This deal created over 4,400 paper millionaires inside the company. You think none of them are looking to cash out? Early holders are already loading up on puts to lock in what they have. First they keep the float tiny. Then they let the index rules force the world to buy at the top. Then they release a flood of insider stock into a crowd of retail buyers who were handed the shares up high. When the price finally breaks the offering level, the people who got in years ago at pennies on today's dollar will hit the bid, and the exit liquidity is your retirement account. And what are you actually left holding? Strip away the science fiction and the only business inside SpaceX that reliably earns money is Starlink, which produced $1.2 billion of operating income last quarter. A wonderful business worth hundreds of billions on its best day. NOT $2 trillion. Serious fair value work lands around $30 a share. Nobody has been a bigger bear on this deal than me. I called it out the moment it started trading, and it is already playing out on schedule as the shares have given back the entire squeeze and slipped below their opening print. I was Peter Lynch's auto analyst back in 1981 and I have watched every disaster since, and I am telling you this is one of the great wealth transfers of my lifetime packed into a fancy narrative. Tesla was the biggest misallocation of capital in the history of stock markets. SpaceX may have just surpassed it. SPCX goes straight onto my short list, and the beauty of this setup is that the catalyst is not a guess or something, it is literally a PUBLISHED CALENDAR. 140 of the biggest financial firms on Earth just teamed up to assassinate ONE company. The same company they helped BUILD for 7 years. BlackRock, Coinbase, Visa, Mastercard, Stripe, BNY Mellon, and Google all showed up to sign the kill order: Yesterday, a consortium of over 140 financial firms launched a new stablecoin called Open USD. The target: Circle Internet Group, the $17 billion company behind USDC. Circle stock crashed 17.5% in a single trading session and closed near $62. It is now down more than 40% in 30 days from its May high of $138. But this is NOT a story about a competitor showing up... This is about a company getting assassinated by the exact partners it depended on to survive. Here is how deep the betrayal goes: Coinbase and Circle co-founded USDC together in 2018. They built the stablecoin as partners through the Centre Consortium. In 2024 alone, Circle paid Coinbase $908 million as a distribution fee for hosting USDC on the Coinbase platform. That revenue-sharing agreement expires in August 2026. Six weeks before that renewal, Coinbase publicly signed onto a project designed to make USDC obsolete. BlackRock literally manages Circle's reserves. The world's largest asset manager has been sitting on the $73.6 billion in US Treasuries backing USDC but joined a consortium built to redirect that interest income to other partners instead of Circle. BNY Mellon is Circle's custody bank. Same playbook here. Custody by day, competitor by night. And Open USD is launching natively on Base, which is Coinbase's own blockchain. Coinbase is literally constructing the rails to replace USDC on the chain Coinbase owns. And what makes it worse: 99% of Circle's 2024 revenue came from interest earned on those Treasury reserves. That is the entire business model. Take user dollars, park them in short-term T-bills, keep the yield. Open USD's pitch to the market is a single sentence: Partners keep the yield instead of Circle. Zero minting fees or redemption fees. Almost all the interest income flows back to the 140 companies distributing the coin. Every "partner" that gave Circle its network effect just realized they had been paying Circle to do something they could do themselves. The interim CEO of Open Standard is Zach Abrams, the co-founder of Bridge, the stablecoin infrastructure firm Stripe acquired for $1.1 billion in 2024. Stripe's stablecoin acquisition is now running the coordinated hit against Circle as well. Circle's own CEO Jeremy Allaire went on the record calling USDC "the most trusted, widely adopted stablecoin globally" and welcoming the competition. That is the polite corporate translation for "our largest revenue-sharing partner just publicly announced they no longer need us." Citi projects the stablecoin market will hit $4 trillion by 2030. 140 companies looked at that number, looked at how much of it Circle was keeping, and coordinated to take it. The exchanges that gave USDC liquidity, the banks that gave USDC legitimacy, the card networks that gave USDC distribution, and the asset managers that gave USDC credibility... Making Sense Of Bitcoin Treasury Companies If you've been following me on X you’ll know that I have recently been floating a lot of my updated thoughts on the Bitcoin Treasury space. Here I have synthesised all of my ideas and distilled them into a single video. If you prefer YouTube, you can find the link in the comments. If you prefer written format, continue reading. The first thing we need to do is acknowledge an important fact which is that Strategy, as a Bitcoin Treasury Company, is an anomaly. What do I mean by that? Strategy’s success has been defined by a number of unique factors and circumstances, most of which cannot be replicated again by other Bitcoin Treasury Companies. Specifically, there are 6 things that stand out to me. 1. Before adopting Bitcoin, Strategy was a billion dollar company with an operating business that was generating roughly $50M in cash a year. 2. Until the introduction of the ETF's in January 2024, Strategy was the only way for the average investor to gain passive exposure to Bitcoin. 3. Until this year, Strategy was the only way for the average investor to gain leveraged exposure to Bitcoin. 4. Strategy was issuing multiple, billion dollar, zero coupon, unsecured convertible notes at +50% conversion premiums. 5. Strategy has Michael Saylor, who, you don’t need me to tell you, is in a league of his own. 6. For many reasons, including those I’ve just mentioned, Strategy has benefitted disproportionately from the broader sentiment around Bitcoin. In other words, for the best part of 4 years, Strategy had zero competition for either capital or attention. As a result, it became a magnet for capital from anyone who wanted exposure to Bitcoin and it attracted inflows that were beyond what fundamentals alone would maybe justify. Therefore, using Strategy as a blueprint for the performance that you can expect from other Bitcoin Treasury Companies is a bad idea. Using Strategy as a blueprint for how to operate a Bitcoin Treasury Company is a good idea. Now let’s break down what’s unfolded over the last 6 months or so. Between May and June of this year, when we witnessed a flood of new Bitcoin Treasury Companies, we entered what I refer to as the frenzy phase. The frenzy phase was driven almost entirely by sentiment. By sentiment I simply mean emotion. Since then, as sentiment has slowly faded, the market has increasingly priced Bitcoin Treasury Companies based more on fundamentals. By fundamentals I simply mean facts. So where as sentiment is driven by emotion and hype, fundamentals are driven by facts and reason. The problem is that when you price Bitcoin Treasury Companies on fundamentals, you realise that many of them are almost entirely dependent on sentiment in order to expand mNAV so they can raise capital via the common stock ATM to buy Bitcoin and generate Bitcoin Yield. However, for me, raising capital via the common stock ATM and recycling it into Bitcoin is not genuine value creation — it’s value transfer. That’s not to say you shouldn’t leverage the ATM as and when necessary — you should. However, if your business model as a Bitcoin Treasury Company no longer works when “sentiment is low” then you have neither a business model nor a business. You’re the equivalent of a meme stock except with Bitcoin on your balance sheet. On that basis, companies shouldn’t expect to trade at a premium if the common stock ATM is the only way they raise capital. I’m not saying they won’t trade at a premium — I’m saying that companies shouldn’t expect to. Now, between July and now, we’ve obviously seen mNAVs compress substantially and so the frenzy phase is over which means that the days of automatically being granted generous mNAV multiples is also over. So now we are in the maturity phase. The maturity phase is going to be defined by being able to offer a differentiated value proposition and having a sustainable business model that can generate Bitcoin Yield in any environment independent of sentiment. In other words, they can generate Bitcoin Yield when trading at or below 1 mNAV. So essentially now, Bitcoin Treasury Companies have to work for their mNAV multiples — as it should be. Following the maturity phase will be the consolidation phase where capital, Bitcoin and ultimately market share will converge towards a small number of Bitcoin Treasury Companies that will dominate the entire industry. I should clarify that I am referring predominantly to pure-play Bitcoin Treasury Companies — companies who are valued based solely on their Bitcoin strategy. Now, with everything that I’ve said, how should you evaluate Bitcoin Treasury Companies? Hopefully over the next few weeks I’m going to string together a video with my valuation framework. In the meantime, a basic test is that I use is this: How much Bitcoin Yield can the company generate over X period of time — you decide what that period of time is — if it traded at 1x mNAV over that entire period? If the answer is 0, then they are probably entirely dependent on raising capital via the common stock ATM which means they likely don’t deserve a premium. If the answer is >0, then they are probably innovating through the use of other instruments — like converts and preferred products — which means they likely do deserve a premium and so whatever number you come up with should be used as the base for your valuation. Now, don’t be fooled. The Bitcoin Treasury Company space is, not entirely, but to a large degree, a zero-sum game. Every Dollar raised by one Bitcoin Treasury Company is at the expense of every other Bitcoin Treasury Company. Every Bitcoin purchased by one Bitcoin Treasury Company is at the expense of every other Bitcoin Treasury Company. It’s only because we are early that everyone is incentivised to essentially hold hands and cheer each other on. However, make no mistake, everyone involved is tacitly well aware that they are all competing for the same finite amount of capital and the same fixed amount of Bitcoin. Thus, the reality is that, by definition, not every Bitcoin Treasury Company is going to succeed. So choose your horses and jockeys wisely. As a side note, with the amount of Bitcoin Treasury Companies now desperately chasing and competing for the same capital from institutions, who do you think has the leverage; the Bitcoin Treasury Companies or the institutions? I’ll let you decide. Before I close, I want to leave you guys with this. There is a small subset of people invested in Bitcoin Treasury Companies who are desperately clinging on to their bags because they believe “sentiment will return.” These people are completely missing the point. My friends, if your investing philosophy is based on sentiment, you are simply not going to last. You want to base your decisions, as far as possible, on fundamentals. As investors, you either adapt and update your mental models based on how things are and not how you want them to be — or you get left behind. With that in mind: Never get caught up in tribalism. Never get attached to your beliefs. Always think critically. Always think independently. Always seek Truth.

Tomorrow a company that holds close to 5% of all ethereum is set to join the russell 1000. Once done, index funds that have never had an opinion on crypto will be forced to buy it. Nobody in those funds chose this, a benchmark rule did it for them 👇 ◢ How index inclusion actually works Getting added to a major index is one of the strongest demand events in markets, and it has nothing to do with whether the company is good. Funds that track the russell 1000 have to hold what the russell 1000 holds, or they stop tracking it. So, when a stock joins, every passive fund benchmarked to that index becomes a forced buyer, at whatever the price is, on the schedule the index sets. Passive vehicles tend to hold something like 20 to 25% of a large-cap stock, which for this one points to roughly $2B of buying that arrives because a rule says it must. ◢ The part that makes it crypto Bitmine is not a normal company that happens to get indexed, it's an ethereum treasury, sitting on millions of $ETH as its core balance sheet. So the chain runs like this: the index adds the stock, passive funds are forced to buy the stock, and the stock is essentially a wrapper around a giant pile of ETH. The stock is already down around 50% on the year, which is a reminder that a one-time wave of buying doesn't repair something tied to ETH's price and to confidence in the treasury model. And there's a quieter problem: "diversified" index funds are now obligated to hold a leveraged, single-asset crypto bet that most of their investors would never have picked on purpose. What it means that the biggest new buyer of a crypto-linked company is a rule, not a person, and that millions of people now hold a slice of ethereum because an index told their fund to?

Alright, now it’s time for us to get back to the story. I wanna share my personal experience trading memecoins (and some utility plays) on Solana over the past 1 year and 4 months. Before that, I was pretty active on Ethereum since around 2020. So what made me switch to Solana ? It started when someone from my private group pointed out the potential of Solana, the speed, the low fees, and how early the ecosystem still felt at the time. Funny thing is, I actually heard about Solana when it was already at $80, but I didn’t really touch it until it hit around $100, and I started with 20 SOL as capital. It was sometime around February 2024 (don’t remember the exact date), when I first tried trading memecoins on Solana. Back then, wasn’t even popping yet, most devs were still launching manually. No fancy bots, no real token scanners, just pure risk. ( Correct me if I’m wrong about when first launched. ) Honestly, in the beginning, it was tough. New tokens popping up every second, rugs left and right, Solana was in hype mode, and everyone wanted to launch something. But by April, things started to click. I was finally making profits trading Solana coins, memecoins, lowcap utilities, all that. If I compare it to now, I’d say it was way easier back then to catch early entries. Not even exaggerating, 100x plays were way more common. This is the most SHAMELESS structural manipulation of a major index I've ever seen. SpaceX is preparing what could be the largest IPO in history. Target valuation: $1.75 trillion. That would make it the sixth-largest company in America on day one. And Nasdaq wants the listing so badly they're literally CHANGING how the Nasdaq-100 works. In February, Nasdaq published a "consultation" proposing sweeping changes to how companies enter the index. The timing is pure coincidence, of course. Just like it's pure coincidence that SpaceX has reportedly made fast index inclusion a CONDITION of listing on Nasdaq. Here's what they're proposing: A new "Fast Entry" rule would let any newly listed company whose market cap ranks in the top 40 of current Nasdaq-100 members get added to the index after just 15 trading days. No seasoning period. No liquidity requirements. Completely exempt from the standards every other company had to meet. Currently, new public companies typically wait up to a year before they're eligible for major index inclusion. That waiting period exists for a reason. It lets the market establish real price discovery. It protects passive investors from being forced into untested, illiquid stocks. And Nasdaq wants to throw all of that out. For ONE listing. But the Fast Entry rule isn't even the worst part... The real scandal is the 5x float multiplier. Right now, the S&P 500 uses a free-float adjusted methodology. If only 5% of a company's shares are available for public trading, the index weights you at 5% of total market cap. That's common sense. You weight a company based on what investors can actually buy. Nasdaq's current methodology already uses total market cap rather than free-float for weighting. But for very low-float stocks, they at least had a 10% minimum float threshold. Under the new proposal, that threshold DISAPPEARS entirely. Instead, any stock with less than 20% free float gets weighted at FIVE TIMES its actual float percentage, capped at 100%. Do the math on SpaceX: If SpaceX IPOs at $1.75 trillion and floats 5% of its shares, there would be roughly $87.5 billion worth of stock available for public trading. Under Nasdaq's proposed 5x multiplier, the index would weight SpaceX at 25% of its total market cap. That means passive funds would be forced to buy as if SpaceX were a $437.5 billion company. But only $87.5 billion of stock actually exists in the market. You are forcing hundreds of billions in passive buying into a $87.5 billion float. QQQ alone manages nearly $400 billion. The total Nasdaq-100 ecosystem represents over $1.4 trillion in exposure across ETFs, mutual funds, structured notes, and derivatives. Every single passive vehicle tracking this index would be REQUIRED to buy SpaceX at whatever price the market dictates. On Day 15. With zero price discovery. Zero track record as a public company. And a float so thin you could read through it. So what this actually does is it creates a structural wealth transfer mechanism. The passive bid from index funds pushes the stock price higher. That higher price benefits exactly one group of people: the insiders and early investors who own the other 95% of the shares. And when lock-up periods expire 90 to 180 days later? Those insiders sell into the artificially inflated passive bid. Your 401(k) is the exit liquidity. This is the fundamental corruption of indexing. Indexing used to be brilliant. Low cost. Efficient.
