And the three biggest pension funds in the country are trying to stop him. Here's why... On Wednesday, three of the largest public pension systems in the United States sent Elon Musk a letter. New York State Comptroller Thomas DiNapoli. New York City Comptroller Mark Levine. CalPERS CEO Marcie Frost. Together, they oversee more than $1 trillion in retirement assets for teachers, firefighters, nurses, and public workers. They asked Musk to scrap the governance structure SpaceX is planning to use for its IPO. Their exact words: it would constitute "the most management-favorable governance structure ever" at this scale. Here's what's actually in the filing. SpaceX is targeting a $1.75 trillion valuation. It plans to raise $75 billion. That makes it the largest IPO in human history. Bigger than Saudi Aramco. Roughly the size of the entire GDP of South Korea. Twenty-one investment banks have been assembled to underwrite it. The target listing month is June. Now look at the share structure. There are two classes of stock. Class A is what gets sold to the public. One vote per share. Class B is held by Musk and a handful of insiders. Ten votes per share. Musk owns 42.5% of the equity. He controls 83.8% of the voting power. After the IPO, he keeps more than 50% of voting control. The only person who can fire Elon Musk from SpaceX is Elon Musk. Then there's the litigation structure. SpaceX has applied for early inclusion in the Nasdaq 100. That means as soon as the listing clears, every passive index fund that tracks the Nasdaq 100 has to buy the stock. Every S&P 500 fund that picks it up has to buy the stock. Every target-date retirement fund that holds those indexes has to buy the stock. Every 401k allocation that defaults to "diversified index exposure" has to buy the stock. The American Federation of Teachers, whose members participate in retirement funds worth roughly $3 trillion in assets, has already filed a formal objection. Their argument is that index rules will "force" their members to invest in SpaceX at a proportion that has nothing to do with the company's fundamentals. You will own SpaceX through your 401k. You will own SpaceX through your pension. You will own SpaceX through your index fund. This is the structural innovation of the whole deal. Most IPOs ask you to buy the stock. This one is engineered so you buy it whether you ask to or not. That's why the pension funds are panicking. They wrote the letter because that's the only lever they have left. Now zoom out. The wealthy have always understood something most retail investors haven't. Passive investing is not neutral. When you buy an index fund, you're not making a neutral bet on America. You're buying whatever the index committee decides to admit. In whatever weight they decide to assign. SpaceX is the best example yet. It's about to land in millions of retirement accounts in June. Elon Musk's biggest competitor is secretly paying him $1.25 BILLION per month. SpaceX just revealed its financials for the first time in 23 years of existence. And buried deep in the S-1 is a detail that changes how you should think about the entire AI race. Anthropic, the company building Claude, the company that positions itself as OpenAI's biggest threat, the company valued at over $100 billion, is paying SpaceX $1.25 billion EVERY SINGLE MONTH for compute capacity through May 2029. That is $15 billion a year flowing directly from Elon's top AI competitor into Elon's bank account. Think about what that means: Every time Anthropic trains a new model, improves Claude, or lands an enterprise customer, a massive chunk of that revenue goes straight to the guy who owns the competing AI product. Anthropic is literally funding the war against itself. And that's just the beginning of what this filing reveals... The entire SpaceX IPO is structured around a bet most people haven't figured out yet. In 2025, SpaceX spent $20 billion in capex. 60% of that, roughly $12 billion, went to AI infrastructure. Rockets and satellites got the leftovers. In Q1 2026 alone, $7.7 billion out of $10 billion in total capex went to AI. The "rocket company" is spending like an AI company. And the total addressable market SpaceX claims in the filing is $28.5 trillion. That is a QUARTER of global GDP. So here is what investors are actually buying when this IPO prices: They are buying the most profitable satellite internet business in history, stapled to an AI lab that is burning cash, wrapped inside a Mars colonization pitch that requires building a permanent city on another planet, funded by monthly billion-dollar payments from a direct competitor who has no other option for compute at that scale. The largest IPO in history is also shaping up to be the largest exit liquidity operation in history SpaceX went public at more than 90x revenue, and the insiders who bought in at a fraction of today's price are about to start selling their shares to you. Let me walk you through why this IPO is built to separate retail investors from their money: SpaceX has NEVER turned a profit and lost close to $5 billion last year. At the offering you were paying more than 90x revenue and at the peak the market briefly valued it near 140x. 30 years ago the head of Sun Microsystems explained in detail why paying even 10x revenue almost always ends in tears, and he was right. But listen closely, because the valuation is not even the real story. The scarcity is what CREATED this valuation in the first place, and the calendar that kills the scarcity is what kills the price. Less than 5% of SpaceX shares were actually available to trade at the IPO. Then the index committees REWROTE their own rules to fast track the stock into the Nasdaq 100 just 15 trading days after listing, which forced every passive fund and index ETF in the country to buy at the exact moment the float was at its tightest. The Nasdaq inclusion alone forced an estimated $4.3 billion of buying, and the Russell reweighting added roughly $3 billion more. The supply was minuscule and the buying was mandatory. That's a manufactured squeeze, and it is why the stock went above $225 in its first week. Now watch what happens next, because this is the part they ain't explaining to you: The lockup was staggered on purpose, and the entire schedule is sitting in the prospectus for anyone who bothers to read it. In early August, right after Q2 earnings, 20% of the locked shares come free. Another 10% unlocks early if the stock trades 30% above the $135 IPO price going into the report. Then tranches of 7% hit the market at 70, 90, 105, 120 and 135 days after the IPO, which means fresh insider supply lands roughly every 2 to 3 weeks from late August through late October. Q3 earnings triggers the single biggest release of all, another 28%, roughly 1.3 billion shares. On December 8 the 180 day lockup expires entirely. And on June 12, 2027 comes the final wave, when Musk's own 6.4 billion shares, 42% of the whole company, become sellable for the first time. Add it all up and insiders could be free to sell as much as 44% of the company by early September, which would balloon the tradable float by roughly 900%. All of that supply lands on a stock the company deliberately packed with retail, because SpaceX reserved close to 30% of the offering for individual investors vs the usual 10%. This deal created over 4,400 paper millionaires inside the company. You think none of them are looking to cash out? Early holders are already loading up on puts to lock in what they have. First they keep the float tiny. Then they let the index rules force the world to buy at the top. Then they release a flood of insider stock into a crowd of retail buyers who were handed the shares up high. When the price finally breaks the offering level, the people who got in years ago at pennies on today's dollar will hit the bid, and the exit liquidity is your retirement account. Tesla was the biggest misallocation of capital in the history of stock markets. SpaceX may have just surpassed it. SPCX goes straight onto my short list, and the beauty of this setup is that the catalyst is not a guess or something, it is literally a PUBLISHED CALENDAR.
