What a joke. All prongs of rhe Howey test must be satisfied for an asset to be a security. Plain and simple. If Gary can't answer the question how the hell can anyone else know the rules of the road!? Pure market manipulation and abuse of power by a government commission put in place to help capital markets grow while protecting investors.
