I'm seeing some odd reactions to the HBC news. My opinion of the role that HBC played is bullish..!! Dismissed with Prejudice, just says, don't come around trying to sue people after this emergence takes place. Because the ones who have the most to lose will make an attempt. Consider it post emergence protection from frivolous lawsuit filers. The company had to go into Ch 11 bankruptcy protection, to have any chance of returning $$ to all of their stakeholders. As opposed to the people driving it into the dirt, wanted the company to go into Chapter 7 and be dead forever. I can't think of a better, legal way to control their timeline and destiny via the share price to get them there. And the timeline was controlled on the debtors' watch, not the other way around. Remember, my recent post of how many documents were filed on the petition date of April 23, 2023 for this voluntary Chapter 11..? And how many more were filed the day after on April 24, 2023 for the first day hearing..? You do remember that morning of April 23, 2023 was a Sunday. Woke up, checking on things, and saying to yourself, welp, here we go. He copies 30,000 pages. That is the whole story. He copies a folder. Let me explain what was actually in it, because this is where it gets interesting. Between 2002 and 2010, PwC alone helped broker 548 of these secret tax agreements, known as tax rulings, for over 340 companies. Apple. Ikea. Pepsi. Disney. Deutsche Bank. AIG. Koch Industries. Skype. GlaxoSmithKline. Coach. Abbott Laboratories. Household names, every one of them. The trick was simple. Companies moved profits through Luxembourg shell structures and Luxembourg quietly agreed in writing to look the other way on tax. Some of these companies ended up paying an effective tax rate under 1 percent. In some cases as low as 0.001 percent. On billions of dollars. Who was running Luxembourg for almost 20 years while this machine was built and protected? Jean-Claude Juncker, Prime Minister of Luxembourg until 2013. Deltour did not leak straight to the world. In 2012 he passed the documents to French journalist Edouard Perrin, who used them for a TV documentary. PwC noticed and filed a complaint with the Luxembourg courts. Then in November 2014, ICIJ ICIJ pulled together over 80 journalists across more than 30 media outlets in 26 countries and published the full scale of it as LuxLeaks. The timing could not have been worse for Juncker, or depending how you look at it, could not have been better. He had just been elected President of the European Commission days before the story broke. The man who ran the tax haven for two decades was now running Europe. A month later ICIJ dropped LuxLeaks 2, showing the other Big 4 accounting firms Deloitte, EY and KPMG were running the exact same playbook. This was never one bad apple. It was standard practice. Juncker faced a no confidence vote in the European Parliament over it. He survived. Deltour was not so lucky. December 2014, Luxembourg charges him with theft, violation of trade secrecy and fraudulent access to a computer system. He is facing up to 5 years in prison and a fine of 1,250,000 euros. For opening an unlocked folder on his way out the door. April 2016, the criminal trial. Deltour and his colleague Raphael Halet, another former PwC employee who leaked a second batch of documents, are both convicted. Deltour gets 12 months suspended and a 1,500 euro fine. Several months ago I read an article entitled "Fart walks save lives" and ever since I've been a fan of a post-prandial stroll... It is so good for the digestion and general health; it gets the blood circulating, burns calories and let's you talk through the day with your other half....(farting is optional). So tonight, after a home-cooked meal, I persuaded james to come along the river for a 40 minute walk- and-talk. It was pitch black on the towpath and we saw only 3 other people, all wearing earpods . On the way back we heard, " help! Help!"... and at first thought it was one of the many rowing coaches you hear on The Thames - even after dark. But then I saw a bicycle on its side and shouted after the voice. 20 ft below us, in the water, was a bloke who had come off his bike and fallen headlong down the banking. He had flattened some of the bushes and trees but was still very difficult to see amongst the thick foliage. James scrambled down as far as safely possible to get a better look. The chap was still in his bike helmet, waist deep in the water and thick mud but unable to get any grip at all on the sheer brick wall. James got back up and found his very long bike lock which he then dangled down to try and pull him up - while I nervously said, " please don't get pulled in too.." (eventually James said, " yes I heard you the first 3 times..."). He was too far down to pull up but was pleading with us not to call 999..."it's just so embarrassing " he said.... He sounded like he was in his 50s, well-spoken and very fed up with himself! I stayed talking to him while James ran to get a longer rope and torch from home (but also gave me the nod to call 999). I was worried that our friend might let go or try to climb out and lose his grip if he knew the lifeguard was coming so I kept him talking and asked if there was anyone else I could ring for him. He rather ruefully said no. James appeared back sprinting with the rope. But seconds after speaking to 999, the Chiswick Lifeboat appeared heroically through the dark. They scooped our water-logged Bradley wiggins up and took him down to Kew and off to hospital to get checked over. We walked his bike back to our house and hope to reunite them soon. The moral to the story is that you should never flop on the sofa after dinner when you could walk round the block. Because that article was right - fart walks do save lives! The final scene in The Godfather Part II, with the family gathered around the dinner table, was originally going to include Marlon Brando, but he pulled out at the very last minute. Coppola had to rewrite a whole new ending the night before the shoot. So I went to bed that night really worried. I had lost the end of my movie. I had to shoot it the next day. I had no idea what to do. I was sleeping in the Chateau Marmont Hotel. I had this scene. I had paid all this money to get Jimmy Caan to come back and some of the other actors to be in the last scene. And in the middle of the night, I just had this idea. And I wrote it - which is that they were all gathered for a surprise birthday party for the Don. And so after this scene plays out, in which Michael’s decision to join the Marines is kind of examined relative to really what all we know is going to happen, and what this young, beautiful, collegiate man who’s a war hero, who goes straight, is going to end up to be: this man without a heart, who’s killed his own brother and alienated his wife… And I thought there could be one beautiful scene with him and Don Corleone as we remember him from the first movie. Since Marlon didn’t come, I made it the surprise party, and I built it up to the point where they all said, “Oh, he’s here. He’s here.” And they all run out of the room. And as you’re waiting for Marlon to come into the room, you just stay on Al… And I came up with the solution at, like - three in the morning. And the next day they said, “Well, Marlon’s not coming.” And I said, “That’s all right. I’ve got a scene we can do without him.” And it was this one. Also, I like that staging kind of, especially about families who ultimately dissolve in front of your eyes, the idea that you have a table full of people. And one by one, someone argues or someone goes off, and then you’re just left with one … And everything else now is just sound.
