Elon's lawsuit EXPOSED OpenAI and Microsoft: They're functionally merged without ever filing merger paperwork. Microsoft invested $14 billion starting in 2019. Now owns 27% of OpenAI (valued at $135 billion). Has exclusive IP rights through 2032. Placed Microsoft VP Dee Templeton on OpenAI's board. And allegedly forces investors into "fund no competitors" deals. That's not an investment. That's a takeover. But it's actually genius: By keeping it structured as "partnership" instead of acquisition, they dodged antitrust review. No FTC approval needed. No DOJ investigation. No regulatory oversight. Meanwhile OpenAI committed to buying $250 billion of Azure cloud services. Microsoft gets 20% of OpenAI's revenue. OpenAI can only develop API products exclusively on Azure. And any AI startup that takes OpenAI investor money allegedly can't fund competitors. Just two companies controlling 70% of the AI market without anyone asking questions. Until now. The lawsuit claims OpenAI went from "tax-exempt charity to $157 billion for-profit market-paralyzing gorgon" in 8 years. Microsoft provided the infrastructure monopoly. OpenAI provided the model monopoly. Together they made sure no competitor could access capital OR compute. The complaint specifically names xAI as being unable to get Azure compute "on terms anywhere near as favorable as OpenAI receives." Translation: Even if you build a better model, you can't run it.
