FINRA abruptly HALTED trading (before market open) on the 9th without any explanation. There are allegedly millions of counterfeit shares in MMTLP, and FINRA stated in their FAQ that all open short positions in MMTLP would automatically be transferred into the private company. According to many reliable sources, โ€œyou canโ€™t have a short position in a private company.โ€ The CEO of OTC Markets states that short positions have to reconcile and settle their shares. There have been over 45,000 letters sent to Congress, a 70-signature Congressional Inquiry to the SEC & Gary Gensler, and media coverage. As of now, there is no resolution to MMTLP. Why the U.S. Securities and Exchange Commission appears to be an even bigger culprit than FINRA in the $MMTLP Fiasco is... The SEC suspected that Brda and Palikaras were guilty of a scheme since at least September 2021. A scheme that according to the SEC, means that neither man should be able to run or presumably be involved with a publicly traded company if found guilty of the charges filed 3 years after the initial subpoenas. $MMTLP It's true. According to FOIA records, the SEC under Gary Gensler spent close to $100,000 to produce this satirical video that degraded and mocked household investors. Members of the investing public saw real opportunities based on future company potential or hard data showing shares shorted far beyond the actual float issued. And the SEC had the nerve to paint out hardworking people who saw opportunity as reckless gamblers on a game show, all while downplaying or ignoring the role of institutional short selling, naked shorts, and excessive borrowing that often drove these squeezes. There is NOTHING wrong with making an investment based on speculative value, especially if backed by the belief in the underlying company. But the SEC chose to attack hardworking people for doing just that. Then, they deleted the video. So 100k of taxpayer money went down the drain. This same pattern of regulatory bias echoes loudly in the MMTLP situation. Over 65,000 investors piled into MMTLP based on expert analysis, due diligence reports, and public information suggesting the stock had been massively oversold, fueling beliefs in a legitimate "squeeze" setup similar to other retail-driven plays. The S-1 was the governing document for the "corporate action". It layed out the precise steps/timeline for the 1-for-1 exchange after the close of business on 12/14/22 that was to result in the automatic cancellation of $MMTLP. This was a legally binding process that both the issuer and the market had to follow. Any deviation from this plan would be a serious breach of the approved "corporate action" outlined in the S-1. By FINRA's decision to delete the trading symbol early, effective 12/13 (zero hour), they acted outside of the issuer's SEC-effective plan. This action disrupted the planned process and caused significant market confusion and harm to investors. It forced brokerages to perform a reorganization or mandatory exchange on an altered timeline, which led to errors, the inability to settle trades, and financial losses for investors. (There was a mandatory exchange BEFORE the alleged 1-for-1 exchange took place, FINRA NEVER addressed this in their FAQs) Symbol deletion is a consequential step, not a discretionary one, in many corporate actions. For a 1-for-1 exchange where the original shares are cancelled, the symbol for those shares would naturally be deleted after the shares are no longer tradable. This was a technical step that followed the main corporate action. (โ˜๐Ÿพ FINRA and the SEC know that this is the correct procedure) The S-1 described the legal and financial aspects of the transaction (the exchange ratio, the cancellation of shares etc), while FINRA handled the technical and logistical aspects, like managing the trading symbols and CUSIPs. #MMTLP February 2nd, 2024: 479 days ago Dennis Kneale interviewed Rep. Ralph Norman about FINRA's regulatory flup-up, better known as the #MMTLPFiasco. Dennis asks a lot of great questions, like asking the Congressman if he was aware that when shares move into an offshore account, FINRA stops counting them as short, to which Norman replies, "No, I was not." Dennis then mentions question 9 of the open letter, and cites FINRA's claim that they have no authority or data to obtain the information requested (which was a consolidated count of shares held long and short, from all financial institutions, foreign and domestic. While their answer "No" was not quite false it was also not quite true, either. It's a half truth. They DO mention their authority over their member firms but what they fail is to take the initiative and exercise their authority under their own rule 4140 (ironically called "Audit") and have their member firms take steps to get the data. Foreign brokers have American counterparts that have the role of "Custodian" for clearing purposes, so FINRA would have to exercise their authority over the custodian to obtain the data from foreign brokers. There are more steps than getting the data from a domestic broker that is a FINRA member, but it can be done. We live in a digital age where terabytes of information go back and forth every second of every day. The audits could be done in an afternoon. Additionally, Dennis asks Norman that if FINRA and the SEC don't play ball, will Congress subpoena the data to which Norman states that it has to come from a Chairman. "James Comer is the chair of oversight and he signed our letter". "I think we can". Finally, Dennis asks Norman if Congress should hold public hearings on this to which Norman replies, "Absolutely, and we're gonna lead the way on that because at the Financial Services Committee that's our job." July 10th, 2024: 320 days ago and 159 days since the Dennis Kneale interview, Ralph Norman appeared on Dan Ball's show. At this point, we have still not had a hearing or have had subpoenas sent out. We pretty much understood that if we didn't get anywhere by July, we were going to have to wait until the election was over. In this interview, Norman says we've had hearings on it, which isn't really accurate. We were mentioned in two separate hearings by Senator Mike Crapo and Rep Ralph Norman, but to say we have had hearings (pluralized), let alone A hearing on MMTLP is an exaggeration. Norman puts the former CEOs John Brda and George George Palikaras on blast and says "It's in the SEC's hands" but he also says "Were not gonna stop" and "Sooner or later we're gonna get to the bottom of it." I just want Ralph to live up to his word. He has always touted promises made, promises kept in regards to the President living up to his word. Why can't he lead by example, keep his promises to his constituents and those in the #MMTLPARMY that he claims to champion and let's get to the bottom of this once and for all. I want to see subpoenas. I want to see those involved come before the committee, under oath and get grilled. John Brda, George Palikaras, Greg McCabe, for sure. But I also want people like Patricia Casimates, Robert W Cook, Sam Draddy, Yvonne Huber, Jessica Hopper, Chris Stone and any person that was involved in the breaking of FINRA Rule 6490 by changing the language of not just the first corporate action, but the revision two days later. I also want anyone involved with the UPC committee that decided to implement the U3 trading halt. Jeff Mendl, the former VP of OTC markets who went a broadcast and kept saying over and over we will have access up until Monday. He should come before Congress and testify.
