Instead, it sold another 12.67 million MSTR shares and raised $1.15 billion through more dilution. The buybacks sound bullish. The 12% STRC dividend sounds bullish. But when a company has to keep raising payouts just to hold the structure together, that’s not always strength. Sometimes it’s stress.

This week, I voiced concerns that Saylor & team are not 100% transparent with us and that the fixed income market for Bitcoin securities is not mature enough yet for MSTR to raise sufficient debt to justify their mNAV. Which basically means they exploit shareholders. Unfortunately, I think the whole MSTR True North crowd around Jeff Walton & Ben Werkman knows this, but even though they started out as neutral commentators, they’ve become cheerleaders (which is totally understandable on a human level). Nonetheless, I think we’re all here to make money, so I hope I can contribute with a more unbiased voice. In addition to the usual counter-critiques (we’re in the endgame of a race to accumulate Bitcoin, and any ATM dilution is accretive while it supports the asset side of the balance sheet, etc.), I received many questions via DM. So, I wanted to address them and clearly lay out the case for being more honest with MSTR shareholders about the debt side of the equation. Because it’s entirely possible that we end up with non-accretive ATMs and impaired investor trust, which could cause significant long-term damage. I want to help avoid that fate, as I am pro-Saylor, pro-MSTR, and pro-Bitcoin. Enjoy!
